About Nilay Goker DURAN

Nilay Goker DURAN graduated from Istanbul University’s Faculty of Law in 2005 and was admitted to the Istanbul Bar Association (Bar of Istanbul) in 2007. She earned her Masters in Law (LL.M.) degree in Corporate Law at the London School of Economics and Political Science in 2009 with the Jean Monnet Scholarship.

Before joining MGC Legal as the Corporate, Commercial, and M&A Partner, she worked in leading local and international law firms in the Republic of Turkey, ranked as “Top Tier” firms by the international legal directories for over 15 years.

Nilay Goker DURAN has a wide range of experience and provides legal advice and assistance to her clients in relation to Corporate and Commercial Law matters as per the Turkish Commercial Code (TCC), Turkish Code of Obligations (TCO), and regulatory matters, including banking and capital markets, energy, healthcare, fintech and e-commerce within the scope of retainer services and plays an active role on structuring and implementing corporate and commercial transactions.

She represented her clients on the buy and sell sides during M&A transactions, private equity funds, and venture capital firms during fundraising and equity financing activities. Her M&A-related work includes cross-border and domestic corporate and commercial transactions, including initial stages such as MoU and legal due diligence and also signing, negotiation, closing, and post-closing stages regarding share acquisition transactions from entry through to exit, and she represented foreign investors investing in Turkey and local clients in their outbound transactions as their trusted legal advisor.

She also represented local and international clients concerning initial public offerings, banking, and finance transactions, including security arrangements on the lender and borrower sides. Nilay Goker DURAN actively follows up on developing technologies such as AI, IoT, and blockchain.

She is also a member of such organizations and international legal networks and participates in working groups. She is also identified as one of the foremost legal practitioners in corporate law and M&A in the Republic of Turkey due to an independent search conducted by international legal directories.
